Advances and Deposits

• Deposits or advance payments may be required for certain Products.
• These payments may be applied to your invoice, offset against unpaid balances, or retained as permitted by law.

Product Restrictions

1. You are responsible for installing and setting up the Products.
2. wupaccess.com is not liable for compatibility with Customer-provided equipment or software unless specified otherwise.
3. Customers are responsible for applicable taxes, installation fees, or replacement costs for lost, damaged, or stolen equipment.
4. Certain Products may not function during network interruptions.

Shipping and Delivery

Shipping:

• Products will be delivered within a reasonable time, subject to availability.
• wupaccess.com is not liable for delays, loss, or damage during transit.

Customer Responsibilities:

• If delivery fails due to Customer’s actions or omissions, the risk of loss passes to the Customer, and additional storage or re-delivery costs may apply.

Warranties and Limitations of Liability

Pass-Through Warranty:

• wupaccess.com passes manufacturer warranties to Customers where applicable but does not offer additional warranties.

Limited Warranty:

• wupaccess.com provides Products per industry standards but disclaims all other warranties, including merchantability and fitness for a particular purpose.

Limitation of Liability:

• wupaccess.com is not liable for indirect, incidental, or consequential damages, including loss of revenue or data.
• Your sole remedy for defective Products is limited to a prorated refund.

Intellectual Property and Site Usage

Disputes and Arbitration

2. Entire Agreement: These Terms constitute the entire agreement between wupaccess.com and the Customer.
3. Severability: If any provision is deemed invalid, the remaining Terms will remain enforceable.
4. Amendments: Modifications must be agreed upon in writing by wupaccess.com.
